These Terms of Service govern your use of Vega Media Productions, LLC (doing business as VMP Agency) media services, websites, and portals.

This policy applies to:

media.vmpagency.com

Any VMP media forms, calendars, or client portals hosted through Go High Level (GHL)

Any files or review systems we provide for media projects

If you are using AI services at ai.vmpagency.com, those services have their own separate Terms.

By using our media website or any VMP media portal, you agree to these Terms.

1. What We Provide

VMP provides media services, including video, photo, editing, and related production support. Some clients may also receive marketing support through a VMP portal. That portal is a tool for service delivery, not a public platform.

2. Platform Access and Use

If you are given access to a VMP portal, you agree to use it only for lawful purposes and only for your approved business or project.

You agree not to:

misuse the portal

try to access areas you are not allowed to access

upload unlawful, harmful, or infringing content

use the portal to send spam or deceptive messages

Access can be given for a paid service, trial, pilot program, or partnership, at VMP’s discretion.

3. Account Ownership and Security

Your portal access is non-transferable. You are responsible for keeping your login info secure.

We can suspend or revoke access if:

these Terms are violated

the service agreement ends

the portal is misused

access is inactive for a long period

4. Project Terms Live in Your Service Agreement

Specific project details like scope, deliverables, turnaround times, revision limits, and pricing are set in your proposal, invoice, or service agreement, not in this Terms page.

If there’s a conflict, the signed or accepted service agreement controls.

5. Intellectual Property

A) Your content

You keep ownership of anything you provide to us, including:

logos, brand assets, footage, photos, copy, and other materials you upload or share

business data and customer materials

You give VMP permission to use your materials only as needed to deliver services.

B) Our work and finished deliverables

All work created by VMP, including finished videos, photos, edits, graphics, project files, and final deliverables, remains the intellectual property of VMP unless we agree otherwise in writing.

After full payment, VMP grants you a limited, non-exclusive, non-transferable license to use the finished deliverables only for your own business or personal purposes, as outlined in your service agreement or invoice.

You may not, without written permission:

resell, sublicense, or transfer the deliverables to others

claim the work as created by anyone other than VMP

use the work to create competing products or media services

remove VMP credits or attribution where it is included by agreement

If payment is not completed, or if you breach these Terms, your license to use the deliverables may be paused or revoked.

C) Our tools and methods

VMP keeps ownership of all internal systems, templates, workflows, presets, automations, and creative methods used to produce your project, even if they are applied to your deliverables.

6. Portfolio and Promotion Use

Because VMP retains ownership of finished work, you agree that VMP may display finished deliverables in our portfolio and marketing unless your service agreement says the project must stay private.

7. Third-Party Tools

Your project or portal may use third-party services like:

Go High Level (GHL)

Google Drive

Blackmagic Cloud

QuickBooks Online

Meta or Google tools when applicable

These companies have their own rules. We are not responsible for their performance, outages, or policy changes. 

8. No Guarantees

We provide the portal and our services “as is” and “as available.”

We do not guarantee:

uninterrupted portal access

perfect platform uptime

specific business results from the content

outcomes from ad platforms or algorithms

We will always aim to deliver excellent work, but results depend on many factors outside our control.

9. Limitation of Liability

To the fullest extent allowed by law, VMP is not liable for indirect, incidental, or consequential damages tied to your use of our site, portal, or services.

This includes losses like:

missed revenue

lost data caused by third-party tools

campaign performance issues

delays caused by client-side approvals or access problems

If we are ever found liable, our total liability is limited to the amount you paid VMP for the specific project that caused the claim.

10. Termination

You may stop using the site or portal at any time.

We may terminate portal access if:

these Terms are violated

a service agreement ends

the portal is misused

After termination, your portal access may be removed and data may be deleted unless we are required to keep records for business or legal reasons.

11. Dispute Resolution and Arbitration (California)

A) Talk first

If there is a problem, you agree to contact us first so we can try to fix it informally.

B) Arbitration

If we can’t resolve it, you and VMP agree to resolve disputes through binding arbitration instead of court, except for:

small claims cases that qualify for small claims court

requests for injunctive relief related to intellectual property or misuse of our work

Arbitration will be held in Los Angeles County, California, under the rules of a recognized arbitration provider.

C) Opt-out right

If you are an individual consumer, you may opt out of arbitration within 30 days of first agreeing to these Terms by emailing [email protected] with:

your name

email used with us

a clear statement that you want to opt out of arbitration

If you opt out, disputes will be handled in California courts. 

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

13. Accessibility

Vega Media Productions, LLC (doing business as VMP Agency) is committed to making our websites and digital content accessible to everyone, including people with disabilities.

We aim to follow the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA as our standard and are actively improving accessibility across:

any VMP media client portals we provide through Go High Level (GHL)
